Diagem Announces Election of Directors and Officers (ccnm)
MONTREAL, QUEBEC--(CCNMatthews - Dec. 15, 2005) - Diagem Inc. ("Diagem" or "the Company") (TSX VENTURE:DGM) is pleased to announce that Mousseau Tremblay, David Crevier, Antony Wood, Jacky Lewy, Philip Renaud, Carlos Alberto Pessoa Pardellas and Claude Durocher were elected directors at the annual and special meeting of shareholders of the Company held in Montreal on December 7, 2005.
The shareholders also approved the conversion of an additional portion of $395,929 of debt owing to Northbrock Capital Inc. ("Northbrock") into shares of the Company in accordance with the terms of the rights offering. The completion of the conversion will bring Northbrock's equity participation in the Company to 21.98% of the then outstanding shares.
Subsequent to the annual meeting of shareholders, the Board of Directors appointed Mousseau Tremblay as Chairman of the Board of Directors, Claude Durocher as Chief Executive Officer, Paulo Andreazza as President, Paul Einarson as Chief Financial Officer and David Crevier as Secretary.
