Work Begins On Candle Lake Diamond Project
The Company is pleased to announce that the offering documents for the non-brokered private placement announced in the news release issued July 12, 2000, have been filed with the Saskatchewan Securities Commission, and will be filed with the British Columbia Securities Commission after the initial closing of the offering. The details of the private placement are:
Offering: Maximum of 150 units. Each Unit is comprised of 24,000 Flow-through Common Shares, 6,000 Common Shares and 15,000 Common Share Purchase Warrants
Price per Unit: $ 4,500
Total proceeds if maximum sold: $675,000
Each Warrant will entitle the holder, upon exercise thereof and for additional consideration of $0.25, to receive 0.8 of a Flow-through Share and 0.2 of a Common Share. The Warrants will expire one year following the initial closing of this offering.
This offering will be available to residents of British Columbia to a maximum of 50 purchasers, and to residents of Saskatchewan for an unlimited number of purchasers, to a maximum of 150 units.
The initial closing will take place on September 13, 2000.
The Canadian Venture Exchange ("CDNX") has conditionally accepted the offering and has set October 15, 2000, as the date for the filing of final documentation.
The proceeds from the sale of the Flow-Through Common Shares will be used for exploration work on the Company's Candle Lake diamond project and the Hoidas Lake rare earth project.
