AGM RESULTS
Gary Billingsley, President, reports that the Company held its Annual General Meeting on June 25, 2003 in Vancouver. At the meeting shareholders voted on and approved the following items:
· The election of Mssrs. Harvey Lawson, Len Willetts and Gary Billingsley as directors for the ensuing year.
· The re-appointment of Hergott Duval Stack & Partners as the Company auditors.
· The issuance of common shares to SB Globe Alliance Corp. or its nominees in an amount greater than 20% of the issued and outstanding common shares of the Company.
· The adoption of a Shareholder Rights Plan.
· The adoption of an Incentive Stock Option Plan in accordance with Policy 4.4 of the TSX Venture Exchange.
With the shareholder approval of the issuance of shares to SB Globe Alliance Corp., the Company can now seek regulatory approval to close the final tranche of the CDN$1.5 million debenture financing previously announced. Regulatory approval of the first tranche of CDN$675,000 was announced May 28, 2003.
In conjunction with the AGM, the Company also met with its advisors to discuss the most appropriate way to activate its diamond subsidiary, Great Western Diamonds Corp., with the ultimate goal of trading the shares publicly on a Canadian exchange. Further details will be released as progress is made.
