PRIVATE PLACEMENT
The Board of Directors of J-Pacific Gold Inc. (the “Company”) is pleased to announce that it has concluded negotiations for a non-brokered private placement with Jipangu Inc. of Tokyo, Japan. The placement consists of 670,000 Units of the Company at a price of $0.35 per Unit for total proceeds of $234,500. Each Unit consists of one common share and one warrant, each warrant entitling Jipangu Inc. to purchase one additional common share of the Company at a price of $0.50 per share for a period of 24 months. Net proceeds from the private placement will be applied to working capital.
The private placement is subject to regulatory approval.
