ANNUAL GENERAL MEETING CIRCULAR ISSUED
On behalf of the Board of Directors, Neil Yingling, President/CEO/Director, is pleased to announce the Annual General Meeting (AGM) circular is in the process of being distributed and mailed to shareholders. The AGM will be held at 10:00 a.m. Wednesday, June 19, 2002 at 602-570 Granville Street, Vancouver, BC at the offices of Bragagnolo & Ovsenek, Solicitors.
Shareholders of record will be asked to approve the following:
1. Re-election of 4 directors: Mssrs. Billingsley, Lawson, Willetts and Yingling.
2. Change of Company name to: Great Western Minerals Group Ltd.
3. Appointment of new auditors: Hergott, Duval, Stack & Partners, in Saskatoon.
4. Approval for the Company to establish a new publicly traded subsidiary at a convenient time in the near future, should management consider it prudent to do so. The new entity would be named: Great Western Diamond Corp. In this regard, it is anticipated that shareholders of an as-yet-unspecified date of record would receive one (1) common share in the new subsidiary company for every four (4) shares held in the parent company. It is planned that the subsidiary will undertake an initial public offering as necessary to further its interests in diamond exploration and mining projects, properties or other diamond-related ventures.
For informational purposes, the Company is pleased to announce that it expects to initiate action in the near future, to file it's 20F with the U.S. Securities Exchange Commission for trading on the NASDAQ Bulletin Board. This process normally takes 4-6 months to complete. Potential market makers in the U.S.A. are currently being interviewed by management. The Company would continue to maintain its listing on the TSX.
